SEC’s Proposal Will Strengthen the Registered Offering Framework
Washington, DC; July 27, 2026—Today, the Investment Company Institute (ICI) submitted a comment letter on the Securities and Exchange Commission’s (SEC) Registered Offering Reform proposal, which will modernize and strengthen the registered offering framework to make public offerings more attractive to issuers. ICI issued the following statement:
“The Commission’s proposal is a significant step in reducing unnecessary regulatory burdens on reporting companies and will encourage more companies to go public, helping to strengthen our capital markets and deliver a thriving economy for investors to grow their savings. We applaud Chairman Atkins and the SEC staff for their work to improve the registration offering framework, all while maintaining strong investor protections.
“The proposed rule lays the foundation for a streamlined registration process and to encourage greater use of public offerings, including by closed-end funds (CEFs) and business development companies (BDCs).
“We look forward to working with the Commission to finalize their proposal, and have suggested additional targeted reforms that can improve the registration process for CEFs and BDCs even further. These reforms can help bring more issuers to the public markets and give millions of American investors access to a broader range of opportunities to build long-term financial security.”
